1. Acceptance of Terms

By booking or using the podcast studio owned by NOM MEDIA STUDIOS LLC ("Studio"), you ("Client") automatically agree to these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and NOM MEDIA STUDIOS LLC ("Company").

2. Services

2.1 The Company agrees to provide the Client with access to and use of the podcast studio and related equipment as specified in the booking confirmation.

2.2 The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Booking and Cancellation

3.1 All studio bookings must be made through the Company's official booking system or as otherwise directed by the Company.

3.2 Cancellations must be made 48 hours before the scheduled booking time. Cancellations made less than 48 hours before the scheduled time may be subject to a cancellation fee of 50% of the booking cost.

4. Payment

4.1 Payment for studio use is due at the time of booking unless otherwise agreed in writing.

4.2 The Company reserves the right to change its fees at any time, with such changes taking effect for future bookings.

5. Studio Rules and Conduct

5.1 Clients must comply with all studio rules posted in the studio or communicated by Company staff.

5.2 Clients are responsible for the conduct of all persons they bring into the studio.

5.3 No food or drink is allowed in the studio without prior approval.

5.4 Smoking and the use of illegal substances are strictly prohibited on the premises.

6. Equipment and Facilities

6.1 Clients are responsible for properly using and caring for all studio equipment and facilities.

6.2 Any damage to equipment or facilities caused by the Client or their guests will be charged to the Client.

6.3 Clients must report any equipment malfunctions or damage to Company staff immediately.

6.4 Studio equipment is to be handled only by the engineer or producer on staff. Clients and their guests are strictly prohibited from operating or adjusting studio equipment without authorized Company personnel's explicit permission and supervision.

7. Intellectual Property

7.1 The Company does not claim ownership of any intellectual property created by Clients using the studio.

7.2 By using the studio, Clients grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display any content created in the studio for marketing and promotional purposes related to NOM MEDIA STUDIOS LLC and NOM MEDIA LLC. This includes, but is not limited to, using clips or images on the Company's website, social media, or promotional materials.

7.3 Clients are responsible for obtaining all necessary rights and permissions for any copyrighted material used in their productions.

8. Liability and Indemnification

8.1 The Company is not responsible for any loss, damage, or theft of Client's personal property while using the studio.

8.2 Clients agree to indemnify and hold harmless the Company, its officers, employees, and affiliates from any claims, losses, damages, liabilities, including attorney's fees, arising out of the Client's use of the studio or violation of these Terms.

9. Termination

9.1 The Company reserves the right to terminate or suspend a Client's access to the studio at any time for violation of these Terms or for any other reason deemed necessary by the Company.

10. Confidentiality

10.1 Clients agree to maintain the confidentiality of any proprietary or confidential information they may encounter regarding the Company's business operations, equipment, or other clients while using the studio.

11. Force Majeure

11.1 The Company shall not be liable for any failure or delay in performing its obligations if such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, government actions, or widespread illness.

12. Modifications to Terms

12.1 The Company reserves the right to modify these Terms at any time. Continued use of the studio after any such changes constitutes your consent to such changes.

13. Governing Law and Jurisdiction

13.1 These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

13.2 Any dispute arising from or relating to these Terms or the use of the studio shall be subject to the exclusive jurisdiction of the state and federal courts located in Nassau County, New York.

14. Severability

14.1 If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

15. Entire Agreement

15.1 These Terms constitute the entire agreement between the Client and the Company regarding the use of the studio and supersede all prior agreements and understandings, whether written or oral.

By booking or using the NOM MEDIA STUDIOS LLC podcast studio, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
